Canada is an attractive destination for international fintech companies looking to expand into a stable and well regulated market. Compared to many European licensing regimes, Canadian MSB Registration offers a more streamlined regulatory framework, no FINTRAC registration fee and no separate minimum regulatory capital requirement for eligible businesses.
If your business plans to provide regulated money services from Canada, registration with FINTRAC may be required before operations begin. Canadian MSB Registration provides a clear federal framework for businesses offering money transfers, foreign exchange, virtual currency services and other regulated money service activities.
Complium supports your expansion into Canada through one integrated workstream, covering Canadian company formation, FINTRAC MSB Registration and the implementation of your AML compliance framework. This helps you launch your business with confidence and in line with Canadian regulatory requirements.
A straightforward federal registration framework focused primarily on AML compliance, without many of the regulatory requirements associated with traditional financial licences.
No FINTRAC registration fee and no separate minimum regulatory capital requirement for Canadian MSB Registration.
FINTRAC registration can cover money transfers, foreign exchange and virtual currency exchange or transfer services, depending on the activities performed and the business model.
Establish a compliant Canadian presence with the right corporate structure and regulatory framework to support your long term business growth.
Every fintech business is different. Before starting the registration process, Complium reviews your business model and recommends the most suitable regulatory route, whether that is Canadian MSB Registration, Foreign MSB Registration, RPAA Registration or another appropriate structure.
The regulatory requirements depend on where your business is established and the activities it performs. Complium reviews both before the registration process begins.
Both registration types are administered by FINTRAC and focus primarily on anti money laundering compliance.
RPAA Registration is a separate Bank of Canada requirement that may apply to businesses performing regulated retail payment functions.
RPAA is not an alternative to MSB registration. It is a separate requirement that may apply in addition to Canadian MSB or Foreign MSB Registration.
Complium assesses your corporate structure, services, payment flows and target markets to determine which registrations and compliance requirements apply before incorporation or filing begins.
Request a Regulatory Assessment
Canadian MSB Registration may apply to businesses operating through a Canadian presence and providing one or more prescribed money services. It is particularly relevant to the following business models:
Domestic and cross-border transfers, remittance services and other activities involving the transmission of funds.
Exchanging one currency for another as a business service.
Issuing or redeeming money orders, traveller’s cheques and other similar negotiable instruments.
Exchanging or transferring virtual currency as a regulated money service.
Canadian MSB Registration does not cover every fintech activity. Custody, securities, lending, retail payment functions or operations in other countries may trigger additional regulatory requirements. Complium reviews the complete business model and confirms the regulatory scope before you commit to the structure.
FINTRAC registration is only one part of operating as a Canadian MSB. The business must also implement and maintain the policies, controls, records, reporting processes and accountable people required to support compliant operations from day one.

Practical answers for international fintech companies assessing FINTRAC registration, Canadian operations and related regulatory requirements.
A Canadian MSB is a business with a place of business in Canada that provides at least one prescribed money service, such as funds transmission, foreign exchange, issuing or redeeming certain negotiable instruments or dealing in virtual currency.
A Canadian MSB has a place of business in Canada. A Foreign MSB does not have a place of business in Canada but directs and provides regulated money services to clients in Canada.
Both Canadian and Foreign MSBs must register with FINTRAC before beginning the regulated activities that trigger registration.
No. FINTRAC registration confirms that the business has fulfilled its federal registration obligation. It does not represent a government licence, endorsement or approval of the business or its services.
Yes. A business that meets the MSB criteria must complete FINTRAC registration before beginning regulated MSB operations.
The registration process may require information about the company, ownership, senior management, compliance officer, employees, locations, agents, banking arrangements and expected transaction volumes.
Corporate and governance documents and criminal record checks for specified directors, officers and owners may also be required.
The timeline depends on the company structure, the readiness and completeness of the information provided and whether FINTRAC requests additional clarification.
Complium prepares the company, registration and compliance workstreams in parallel wherever possible to keep the project moving efficiently.
RPAA Registration may apply where a business performs one or more regulated retail payment functions relating to electronic funds transfers, falls within the geographical scope of the RPAA and does not qualify for an exclusion.
It is a separate Bank of Canada requirement and may apply in addition to FINTRAC registration.
FINTRAC does not impose a Canadian resident director requirement as part of MSB registration. Corporate requirements should still be assessed according to the jurisdiction of incorporation and the proposed company structure.
No. Banks and other financial institutions conduct their own onboarding, compliance and risk assessments.
Complium can help prepare the corporate, operational and AML documentation, but account approval remains the financial institution’s decision.
Yes. Depending on the services and target markets, RPAA, provincial MSB, securities, payment services or foreign jurisdiction requirements may also apply.
