Terms & Conditions

Complium sp. z o.o. provides the services defined below under the following conditions:

I) General

These Terms and Conditions (hereinafter “T&C”) govern the provision of electronic services provided via this Website: www.complium.com (hereinafter “Website”), within the meaning of Article 8(1)(1) of the Polish Act of 18 July 2002 on the provision of electronic services by Complium Poland sp. z o.o., with its registered address in Warsaw, Poland, ul. Solipska 3/5, 02-482, entered into the entrepreneur register under KRS number: 0001089880 (hereinafter referred to as “Complium”, “we/us”) to its Clients (hereinafter referred to as “Clients”, “you”). By entering into an agreement with us, the Clients confirm, that they have read these T&C and agree that they are mandatory for them to comply with. The Clients confirm that the information he provided to Complium via this Website is true, accurate, and enables Complium to provide the requested services.  

II) Service  

1. This T&C provides for the rules for the use of the our Website: by our Clients, including the scope of services provided by Complium through electronic means, the conditions for the provision of these services, the terms for concluding and terminating agreements for the provision of services by electronic means, and the complaint procedure, including: use of the Website, browsing and sharing its contents, using the contact forms, Newsletter subscription. 

2. The provision of electronic services is free of charge and is carried out in accordance with the rules set out in these T&C. 

3. With the exception of the Newsletter, the agreement for the provision of an electronic service is concluded at the moment of commencement of use of a given electronic service. 

With the exception of the Newsletter, electronic services are of a one-time nature and terminate at the moment of making an inquiry via the contact form or at the moment of earlier termination of their use by the Clients (by ending the browsing on the Website). The Clients may terminate the use of a given one-time electronic service at any time. In this case, the agreement for provision of a given electronic service shall automatically expire, without the need to make any additional statements.  

4. The use of electronic services may require the provision of the Clients’ personal data. 

III) Technical requirements 

1. To use the electronic services provided via our Website, the Clients must meet the following minimum technical requirements: have a computer with Internet access and the recommended operating system Windows 11 and Mac OS 10.10 or the minimum operating system Windows 7, or a mobile device with Android or iOS with Internet access. Moreover, the Clients must have one of the web browsers installed on the device, through which they use our electronic services, that allows them to browse web pages and access the Website, with support for SSL encrypted connections, JavaScript technology, and cookies: Microsoft Edge, starting with version 85, Mozilla Firefox, starting with version 70, Google Chrome, starting with version 70, Opera, starting with version 70, Safari, starting with version 14. 

The use of the contact form provided in the Website requires an active e-mail address and an active telephone number (if it is provided in the contact form). 

2. To safeguard the security of communications and data transmitted through the Website, Complium implements technical and organisational safeguards that are proportionate to the level of risk involved. These measures are intended to prevent unauthorised access to, or alteration of, personal data transmitted over the Internet. Despite these precautions, Complium draws attention to the general risks inherently associated with using the Internet, including: the receipt of spam (unsolicited advertising or commercial messages sent electronically), the existence and activity of malicious software (malware), such as computer viruses, which are programs capable of self-replication and infecting files, often without the user’s knowledge; 

potential exposure to spyware, i.e. software designed to monitor a user’s online behaviour, the risk of cracking or phishing, involving attempts to obtain passwords or other sensitive information, sniffing (unauthorised monitoring or interception of data transmissions – outside the scope of cracking or phishing, using specialised software known as sniffers to capture and potentially analyse network traffic), the risk of encountering other undesirable or harmful software that performs actions not intended by the user and does not fall within the categories listed above. 

3. Clients are advised to install reputable anti-virus software on any computers or devices used to access the Internet and to keep such software up to date by promptly installing the latest available updates. 

IV) Use of the Website 

1. Use of the Website is voluntary and undertaken entirely at the Client’s own risk. Client acknowledges, that Complium may make changes to the Website at any time and that Complium reserves the right to temporarily suspend or permanently terminate the operation of the Website or any electronic services provided through it, as well as to modify or withdraw such services, including for maintenance or technical reasons.  

2. Access to and use of the Website and individual electronic services provided through it is conditional upon the User’s IT system meeting the technical requirements set out in Section III of these T&C. 

3. Complium shall not be responsible for any technical issues, failures, or limitations of the Clients’ hardware or software that hinder or prevent proper use of the Website or the electronic services provided through it. 

4. The Clients must use all information and materials available on the Website solely within the limits of permitted use and use the Website contents and electronic services in a lawful manner that does not disrupt or interfere with the operation of the Website. Clients must refrain from posting, sharing, or transmitting through the Website any content that is unlawful, including content that infringes third-party copyrights or personal rights. 

5. The Client should promptly inform Complium of any suspected or actual violations of the law related to the use of the Website. 

6. Complium monitors and oversees the operation of the Website to ensure its proper functioning. However, Complium does not warrant uninterrupted access to the Website or error-free performance of its content. 

7. The materials published on the Website are provided solely for informational and educational purposes and do not constitute business or legal advice or an offer as defined by the Polish Civil Code; instead, they are intended only as an invitation to enter into an agreement within the meaning of Article 71 of the Polish Civil Code. 

V) Contact form 

1. The purpose of the contact form provided on the Website is for the Clients to send inquiries to Complium or request to be contacted by completing the form provided on the Website. 

2. If the Clients wish to be contacted by Complium or receive an offer for the requested services by completing the contact form, the Clients must enter: name and surname or company name, an email address, a telephone number, the content of the inquiry or message.  

3. To use the contact form, the Clients must fill in all mandatory boxes and submit the message by selecting the “Send Message” button. 

4. Complium preserves the right not to reply to inquiries which it deems inappropriate or requesting information about services that Complium does not or cannot provide. 

VI) Newsletter 

1. Clients may request the newsletter to be provided to them by Complium.  

2. The Newsletter is provided free of charge via email, for an indefinite duration and is delivered on an ongoing basis from the moment the Client confirms their subscription. 

3. Subscription to the Newsletter is completed by filling in the form available on the Website, including providing the email address to which the Newsletter is to be sent, and submitting the completed form to the Service Provider by clicking the “Subscribe” button. 

4. After registration, an email at the address provided requesting confirmation of the Newsletter subscription will be sent. If such an email is not received within 3 working days of subscribing, the Client should inform Complium of such. 

5. The Newsletter subscription is considered effective once the Client confirms their intention to receive the Newsletter, at which point a Newsletter service agreement is concluded between Complium and the Client. 

6. By subscribing to the Newsletter, the Client consents to the receipt of commercial information by electronic means within the meaning of the Polish Act of 18 July 2002 on the provision of electronic services, including direct marketing communications as referred to in Article 398(1) of the Act of 12 July 2024 – Electronic Communications Law. 

7. Complium preserves the right to determine the frequency at which the Newsletter will be provided. 

8. Within 14 days of entering into the Newsletter service agreement (i.e. subscribing to the Newsletter), a Client being a consumer has the right to withdraw from the agreement without giving any reason. To exercise this right, the Client must submit a clear statement of withdrawal to Complium either by email to: [email protected] or in writing to the Complium’s registered address. 

9. The withdrawal period is deemed to be observed if the Client sends an unambiguous declaration of their intention to withdraw before the expiry of the 14-day period. For this purpose, the Client may use the statutory withdrawal form, although its use is not obligatory. The Client can use the following sample withdrawal form if they send it via paper post to Complium’s registered address:

10. Complium uses a third-party contractor for automated Newsletter distribution. Complium ensures, that it and the subcontractor is bound by the relevant data protection agreements, and that the contractor has technical background and facilities that enable an adequate level of data protection required by GDPR.  

11. Complium and its third-party contractor ensure the operation of the IT system in uses in such a way as to prevent access by unauthorized persons to the content of the communication within the electronic services (including Newsletter), by means of cryptographic techniques. 

VII) Complaints 

1. The Clients are entitled to submit a complaint concerning the improper functioning of the Website or the provision of electronic services that is inconsistent with these T&C, within 30 days from the date on which the issue giving rise to the complaint occurred. Complaints may be filed electronically by sending an email to the e-mail address: [email protected] or in writing to Complium’s registered address. 

2. A complaint should contain Client’s contact details required to communicate the outcome of the complaint, in particular the email address of the Client submitting the complaint and a comprehensive description of the issues related to the functioning of the Website or the provision of the electronic services. 

3. Complium will review the complaint and notify the Client who sent it of the result within 14 days from the date the complaint is received, by sending a message to the email address provided during the complaint process. 

If the complaint lacks information necessary for a clear and complete assessment, Complium preserves the right to ask the Client who provided to complaint, to supply additional details. In such cases, the 14-day time limit for handling the complaint will begin from the date the additional information is received. 

4. Should a dispute arise between Complium and the Client, a Client who is a consumer may pursue alternative dispute resolution methods, including submitting (after completion of the complaint procedure), a request for mediation or for the case to be examined by an arbitration court. A consumer may also seek assistance from a district (municipal) consumer ombudsman or a consumer protection organization operating under its statutory mandate. VIII) Responsibility 

1. Complium shall not be responsible for any failures in the functioning of the Website or for interruptions in its availability where such disruptions result from circumstances beyond its control.  

2. Complium shall not be liable for any technical issues or limitations arising from the hardware, software, or ICT systems of the Client’s computer or other device that hinder or restrict proper access to or use of the Website. 

3. Complium does not guarantee that the Website will function correctly on the Client’s device and Client’s Internet connection and shall not be held responsible for any lack of compatibility.  

4. Complium shall not be liable for any damage suffered by the User resulting from use of the Website in a manner inconsistent with its intended purpose or in breach of the T&C. 

5. Complium shall also not be responsible for any losses or damages incurred by the Client or third parties in connection with the use of the Website, including, in particular, circumstances caused or influenced by the actions or omissions of the Client or third parties. 

Disclaimer of Warranties

COMPLIUM disclaims any and all warranties, express or implied, regarding its service. The service is provided “as is” and at the Client’s own risk, and we do not guarantee or endorse the quality, fitness for purpose, non-infringement, integrity or accuracy of the Service. Regardless of our efforts to provide the Client with the best quality services, we cannot guarantee that the service will meet the expectations set by the Client. COMPLIUM reserves the right to change or terminate the service at any time, temporarily or permanently, without liability to the Client for interruption, change or termination of the service or service functions. If possible, the termination of the service will be reasonably announced in advance. The Client is solely responsible for compliance with any and all applicable and relevant laws and requirements. Furthermore, in no event shall COMPLIUM be liable for any consequential damages, including lost revenue.
